Terms of Service for Business Property Managers & Hosts

Definitions

  • Customer: The company or individual that has entered into a commercial agreement with Huisku for the use of its platform and services.

  • Service Provider: A third-party vendor (e.g. cleaner, maintenance technician) that offers services via the Huisku platform.

  • User: Any individual who accesses or uses the Huisku platform on behalf of a Customer


1. Platform Usage Huisku provides an operations management platform that enables Customers to automate task workflows, coordinate services and manage Service Partners. All Users must be at least 18 years of age and authorized to enter binding agreements.

2. Relationship of the Parties Huisku serves solely as a software and marketplace provider. Service Providers are independent businesses and not employees or subcontractors of Huisku. No partnership, joint venture, employment, or agency relationship exists between Huisku and any Customer, User, or Service Provider.

2.1 No Employment Relationship Service Providers engaged through Huisku’s platform operate as independent businesses. Huisku does not direct or control how services are performed, and does not assume liability for tax, insurance, or labor obligations associated with those services.

2.2 No Solicitation Outside Huisku If a Customer is introduced to a Service Provider through Huisku’s marketplace, all future service engagements with that provider must be managed through the Huisku platform. This requirement does not apply to Service Providers independently sourced outside of Huisku prior to platform usage. Users agree to compensate Huisku for lost platform fees if such solicitation occurs.

2.3 Time-Bound Exclusivity Customers may not engage a Service Provider introduced via Huisku outside the platform for a period of twelve (12) months following the most recent job or transaction. Breach constitutes circumvention and is subject to Section 14.

2.4 Use of Existing Providers Without Commission Customers who invite their own existing Service Providers onto the platform may do so without incurring Huisku’s marketplace fee. These Service Providers will only be visible and available to the inviting Customer and will not appear in Huisku’s general marketplace or be accessible to other platform users. Huisku reserves the right to confirm the pre-existing nature of the relationship. The Customer is solely responsible for managing, instructing, and overseeing any such Service Providers, and remains fully liable for their performance, compliance with legal obligations, and any resulting disputes.

3. User Responsibilities Users are responsible for maintaining accurate information, protecting their login credentials, and complying with all applicable laws. Misuse or abuse of the platform may lead to account suspension. Users must not use the platform to offer or facilitate illegal, unsafe, or unlicensed services.

4. Independent Service Providers Huisku does not verify Service Provider credentials beyond what is shown in the platform. Customers are responsible for vetting and managing their chosen providers. Huisku is not liable for provider performance, conduct, or compliance with local regulations. Customers are solely responsible for the legal relationship with Service Providers.

5. Account Information and Communications Customers and Users must ensure that all personal and business information provided to Huisku is accurate and up to date. Users consent to receive communications from Huisku through email, phone, or text message. Standard rates may apply.

6. Fees and Billing Fees are determined according to the current Huisku Pricing Document. Monthly or annual charges apply based on the selected plan. Marketplace transactions may incur additional platform or payment processing fees. You are responsible for any applicable taxes. No refunds are issued for partial billing periods.

Payments may be made via credit/debit card (processed by Stripe) or invoice (subject to eligibility and approval). For Stripe payments, you agree to be bound by Stripe’s applicable terms. Invoiced Customers must ensure timely payment according to invoice terms and may be subject to late payment interest and collection costs in accordance with Finnish law.

7. Cancellation and Modifications This agreement may be terminated with 30 days' written notice. Marketplace service cancellations may incur partner-specific penalties. Huisku is not responsible for mediating third-party disputes or refunding associated charges.

8. Data and Privacy Huisku may collect and process data in accordance with its Privacy Policy. By using the platform, you consent to this processing. You agree that Huisku may share limited data with service providers to enable service delivery. Users may not misuse or access unauthorized personal data.

9. Limitations and Disclaimers The platform is provided "as is" without warranties of any kind. Huisku does not guarantee uninterrupted service or the outcomes of services booked through its marketplace. Huisku is not liable for actions or omissions by any third-party service providers. Users assume all risks associated with third-party engagement.

Huisku may suspend access to the platform for maintenance, legal compliance, or in the event of suspected misuse, fraud, or security threats. Where reasonably possible, Huisku will notify the Customer in advance of planned service interruptions.

10. Indemnification Customer agree to indemnify and hold harmless Huisku and its affiliates, officers, and employees from claims, losses, liabilities, or expenses arising out of your use of the platform or your breach of this Agreement, including damages, third-party claims, or regulatory penalties.

11. Insurance and Damage Claims It is the sole responsibility of the Customer and any Service Provider they engage to maintain appropriate insurance coverage. Huisku does not insure services, property, or personal items. Any disputes over damages must be resolved directly between the parties involved. If insurance coverage exists, it is the primary recourse before any platform-based protections.

12. Dispute Resolution If the Customer is domiciled outside Finland, either party may elect to resolve any dispute, controversy, or claim arising out of or relating to this Agreement through final and binding arbitration, in lieu of court proceedings. Arbitration shall be conducted under the Rules for Expedited Arbitration of the Finland Chamber of Commerce, in English, and seated in Helsinki, Finland. The parties shall appoint a single arbitrator with relevant experience in technology and commercial agreements. Nothing in this clause shall prevent either party from seeking injunctive or equitable relief in any competent court to protect intellectual property or confidential information.

13. Updates and Modifications Huisku may update these Terms of Service with reasonable notice. Continued use of the platform after notice constitutes acceptance of the updated terms. Substantial changes will be communicated in writing. Customers are responsible for reviewing updates.

14. Platform Exclusivity Customers may not engage with Huisku-introduced service providers outside the platform. If Huisku determines this condition is violated, Huisku reserves the right to terminate your access and recover damages equal to lost platform fees or 25% of the total value of bypassed services, whichever is greater.

15. Third-Party Payment Processors Huisku uses third-party payment processors, including Stripe. We are not responsible for transaction failures, fraud, or data breaches attributable to those processors. Users agree to the terms and policies of any payment processor used in conjunction with the platform.

16. Force Majeure Huisku shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor strikes, pandemics, or government action.

17. Entire Agreement and Severability These Terms do not create any third-party beneficiary rights. If any provision is found unenforceable, the remaining terms shall remain in effect. This document constitutes the entire understanding between you and Huisku and supersedes all prior understandings, oral or written.

18. Audit and Verification Rights Huisku reserves the right to request documentation reasonably demonstrating that any Service Provider invited by the Customer was engaged prior to joining the platform. If the Customer cannot substantiate the pre-existing nature of the relationship, Huisku may treat the provider as Huisku-introduced and apply commission and exclusivity terms accordingly.

19. Platform Conduct and Abuse Users agree not to misuse the platform, including but not limited to scraping, reverse-engineering, sending spam or misleading messages, impersonating other users, or using the platform to solicit off-platform relationships that undermine Huisku’s business model. Huisku may suspend or permanently terminate access for conduct deemed abusive, fraudulent, or in violation of these Terms.

20. Refunds and Credits Huisku does not offer refunds for transactions with third-party providers. Any account credit issued is at Huisku’s sole discretion and does not imply any entitlement to future credits, reimbursements, or liability coverage.

21. Marketing and Publicity Rights Unless otherwise agreed in writing, the Customer grants Huisku the right to list the Customer’s name and logo in its marketing materials, customer lists, investor reports, and online channels for promotional purposes. The Customer may opt out at any time by written notice.

22. Governing Language This Agreement and all related documents are executed in English. In case of conflict between translated versions and the English version, the English version shall prevail.

23. Intellectual Property All rights, title, and interest in and to the Huisku platform including but not limited to its software, features, data structures, workflows, documentation, and branding shall remain the sole property of Huisku Oy. Customers may not copy, reverse engineer, duplicate, or repurpose any part of the platform for their own or any third party’s use.

Any data, insights, analytics, or communications generated through use of the platform may be used by Huisku for operational, legal, analytical, or marketing purposes, in accordance with its Privacy Policy.

Huisku may also collect and use anonymized or aggregated data derived from platform usage ("Statistical Data") to support analytics, product development, and marketing. Such Statistical Data shall not identify the Customer or any individual.
